Northern Graphite acquires NeoGraf for adding value to graphite products


Northern Graphite Corporation, which owns the Okanjande graphite mine in Namibia, has agreed to acquire 50,1% of NeoGraf Solutions.

The Canadian-based company announced on Feb. 13 that it had signed the agreement with Edgewater Capital Partners to complete the transaction.

According to Northern Graphite, NeoGraf specialises in value-added products manufactured from natural graphite and has a robust intellectual property portfolio and a blue-chip customer base.

Cleveland-based Edgewater Capital Partners is a private equity firm that invests in lower middle-market performance materials and service businesses.

Sprott Capital Partners LP will act as Northern Graphite’s financial.

The agreement gives Northern Graphite an option of six months to acquire an effective 50.1% voting interest and a 33.3% equity interest in NeoGraf.

Northern Graphite also has the option to increase its interest up to 100% at a later date, subject to the terms and conditions of the agreement.



Northern Graphite said acquiring a stake in NeoGraf Solutions will enable the company to integrate downstream into the manufacturing of graphite products for a number of high-growth markets, including lithium-ion batteries/EVs, fuel cells, graphene and nanomaterials, thermal management in consumer electronics, smart building products and fire retardants.

Northern Graphite chief executive officer Hugues Jacquemin said the NeoGraf transaction is a significant step toward integrating downstream to capture a greater share of the value chain and creating an industry-leading mine-to-market natural graphite company with the ambition to produce low carbon footprint products.

Edgewater partner Robert Girton said their investment in NeoGraf demonstrates the ‘mine-to-market’ strategy and enhances the security of supply and value that NeoGraf provides to its blue-chip customer base.

“Further, the collaboration between the organisations will accelerate and expand the breadth of unique solutions, which ultimately enable our customers’ commercial success,” Girton said.

NeoGraf chief executive officer Drew Walker Northern Graphite is a noted thought leader in the worldwide graphite industry.

Walker said Northern Graphite and NeoGraf would be powerful in developing high-performance technical solutions that address our customer’s application-specific needs. 


“Additionally, Northern provides NeoGraf with greater security of supply and expands the geographic regions from which we source our graphite. This will be a key advantage as we execute our shared vision for growth,” he said.
